1. Acceptance of Terms
By accessing or using this website and related services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”) as set out by TRENOS Applications (“we,” “us,” or “our”). If you do not accept these Terms, you must not use the Platform.

2. Use of the Platform
You agree to use the Platform for lawful purposes only and in accordance with all applicable laws and regulations. You may not use the Platform to interfere with its normal operation, to violate the rights of others, or to engage in unauthorised access or misuse of data.

3. Intellectual Property - Website
All content, trademarks, graphics, data models, and software on the Platform are the property of TRENOS Applications or its licensors unless otherwise stated. You may not copy, reproduce, republish, or distribute any part of the Platform without express written permission.

4. Client Intellectual Property
Any content, trademarks, branding, proprietary data, or intellectual property (“Client IP”) provided by the client for the purpose of developing a white-labelled version of a TRENOS product shall remain the sole and exclusive property of the client. TRENOS Applications acknowledges that it acquires no rights, title, or interest in the Client IP beyond the limited right to use such materials solely for the development, deployment, and support of the agreed white-label solution. The client warrants that they have the legal right to supply such IP and grants TRENOS Applications a non-exclusive, revocable licence to use the Client IP solely for these purposes. Upon termination or completion of the project, TRENOS Applications will cease use of all Client IP and, where applicable, return or securely delete any such materials upon written request.

5. TRENOS Intellectual Property - Applications
All technology, data models, algorithms, software architecture, proprietary systems, and visual assets developed by or licensed to TRENOS Applications (“TRENOS IP”) remain the sole property of TRENOS Applications, whether or not they are used within a white-labelled product. Clients are granted a limited, non-transferable, non-exclusive licence to use the TRENOS IP solely as integrated within the agreed white-label solution, for the duration and scope of the contract. This licence does not confer any ownership rights, nor does it permit replication, sublicensing, reverse engineering, or redistribution of the TRENOS IP outside of the agreed application context. Upon termination or expiration of the agreement, all rights to use TRENOS IP revert fully to TRENOS Applications unless otherwise stipulated in writing.

6. AI-Driven Insights and Limitations
TRENOS.ai and its ecosystem tools (including VIITEL, MIIVO, and MEBE) provide automated trend intelligence powered by AI. The information provided is for informational and strategic purposes only and does not constitute financial, investment, or legal advice. While we aim for accuracy, we do not guarantee the completeness or reliability of the insights generated.

7. Subscriptions and Paid Access
TRENOS Applications may offer subscription-based access to advanced features, premium insights, or downloadable content. Subscription terms will be outlined at the point of sale and may include monthly, annual, or lifetime access options. By subscribing, you agree to the payment terms and renewal conditions presented at the time of purchase. Cancellation policies will also be disclosed prior to confirmation.
Failure to comply with payment obligations may result in the suspension or termination of access to paid services.

8. White-Label Agreements
TRENOS Applications offers white-labelled versions of its trend products for third-party commercial use. These services are subject to custom contracts agreed upon between TRENOS Applications and the client. All terms, including scope, licensing, branding, deliverables, pricing, and support, will be outlined in a separate written agreement. Unless otherwise stated, intellectual property and backend technologies remain the sole property of TRENOS Applications.

9. Confidentiality
Unless otherwise agreed in writing, any non-public information exchanged between TRENOS Applications and the client or user—whether during account registration, subscription access, or while engaging with white-label services—shall be treated as confidential. Both parties agree not to disclose, reproduce, or use such information for any purpose other than as required to fulfil their obligations under these Terms. This includes but is not limited to trend data, internal documents, platform architecture, business strategies, and any proprietary insights accessed through the platform. This obligation shall survive the termination of any service or agreement.

10. Privacy
Your use of the Platform is subject to our Privacy Policy, which outlines how we collect, use, and protect personal and aggregate data. You agree to the terms of the Privacy Policy by using the Platform.

11. Limitation of Liability
To the fullest extent permitted by law, TRENOS Applications shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or data arising out of your use or inability to use a TRENOS Application Platform.

12. Termination
We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, if we believe you have violated these Terms or are using the Platform inappropriately.

13. Governing Law and Jurisdiction
These Terms and any disputes arising out of or in connection with them are governed by the laws of New Zealand. You agree to submit to the exclusive jurisdiction of the courts of New Zealand.

14. Changes to Terms
TRENOS Applications reserves the right to modify these Terms at any time. Updates will be posted on this page with an updated effective date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
